Why it matters

A potential investor or a buyer doesn't meet your business first. They meet your numbers, your narrative, and the data room you put them in. When those three are not complete or do not agree, the process slows, the questions multiply, and the leverage moves across the table. Preparing all three — collaborating with you and applying our experience — is what Nexus Advisors does.

Who we work with

Two kinds of clients, one problem.

Founders and sponsors raising capital

Early-stage founders, first-time fund sponsors, and real estate syndications — entities with a real opportunity, but with a model, deck, or investor list that will not survive institutional diligence.

Owners selling in the next one to five years

The business runs well, but it has never been packaged for a buyer. The financials sit in the bookkeeping file, the story lives in the owner's head, and no one has mapped who would actually pay the most for it.

The problem

Capital does not reward the best business. It rewards the best-prepared one.

In practice, the gaps look the same across almost every first process we see:

The evidence

Prepared processes close more often — and closer to the number.

These are independent findings. They describe what happens when a sale or a raise is run as a prepared process rather than an opportunistic conversation. For those raising capital, preparation is what investors actually respond to.

23%

Expectations, not the business

Nearly a quarter of advisors surveyed named an unrealistic seller value expectation as the single biggest reason deals fell apart. A defensible valuation range, set early, removes that risk.

IBBA & M&A Source, Market Pulse Q4 2022.
Poor records rank high

The numbers have to survive diligence

Advisors point to poor financial recordkeeping and questionable add-backs as leading obstacles in smaller transactions, and recent work on post-LOI outcomes finds quality-of-earnings discrepancies rising as a cause of terminated deals.

IBBA & M&A Source, Market Pulse Q1 2023; Post-LOI Deal Failure in U.S. Private-Company M&A, working paper, 2026 (quality-of-earnings discrepancies 10.6% of post-LOI failures in 2023 to 21.3% in 2025).
The team, above all

What investors actually react to

In a randomized experiment with roughly 17,000 emails to early-stage investors, the average investor responded strongly to information about the founding team, and not to traction or existing lead investors. How the team is presented is part of the work.

Bernstein, Korteweg & Laws, "Attracting Early-Stage Investors: Evidence from a Randomized Field Experiment", Journal of Finance 72(2), 2017.

These studies describe how transactions succeed and fail. They are not claims about the results of any engagement, and nothing here is a projection of outcome, price, or timing for your business.

How it works

From first call to a business that is ready.

01

Thirty-minute readiness call

We discuss your timeline, the business, and what a good outcome looks like. You leave the call with a candid read on where you stand, whether or not we work together.

02

Diagnostic

We review the financials, the operating story, and the market. You receive a valuation range, a gap register, and a roadmap in plain language.

03

Build

Model, deck or CIM, target list, and data room — prepared the way an institutional investor or buyer expects to receive them.

04

Stay ready through the process

As your raise or sale moves forward, we keep the materials current and support you and your transaction advisors through diligence, so the process runs on your terms rather than the other side's.

Questions

What owners ask first.

Is it too early to start?

If a raise or sale is one to five years out, this is the right window. Readiness work compounds: the changes that raise value most take time to show up in the numbers.

Why does every engagement start with the Diagnostic?

It is the only honest way to scope the work. It also protects you — the $3,500 fee is eligible as a credit towards a full package if you move forward.

Do you replace my accountant or attorney?

No. We prepare the business for the transaction and coordinate with your existing advisors through diligence and close. We do not raise capital, sell businesses, or broker transactions ourselves.

Will this stay confidential?

Yes. Nothing goes to market, and no name is used in outreach, without your written approval.

What if the Diagnostic says I am not ready?

Then you have a roadmap and the time to act on it, which is a far better outcome than learning it from a due diligence list.
